You agree that by clicking "Sign up" or similar, registering, accessing or using our services, you are agreeing to enter into a legally binding contract with Vedrax SAS (even if you are using our Services on behalf of a company). If you do not agree to this contract, do not click "Sign up" (or similar) and do not access or otherwise use any of our Services. Your use of our Services is also subject to our Privacy Policy and Cookie Policy. This Contract applies to vedrax.com website and all applications operated by Vedrax SAS - France (797 614 161 RCS Montauban).
Members
When you register and join the Vedrax Service, you become a Member otherwise a visitor.
Change
We may modify this Contract, our Privacy Policy and our Cookies Policies from time to time. We will provide you notice through our Services, to provide you the opportunity to review the changes before they become effective. If you object to any changes, you may close your account. Your continued use of our services after we publish or send a notice about our changes to these terms means that you are consenting to the updated terms.
Obligations
Service Eligibility
The Services are not for use by anyone under the age of 16. To use the Services, you agree that: (1) you must be the "Minimum Age" or older; (2) you will only have one Vedrax account, which must be in your real name; and (3) you are not already restricted by Vedrax SAS from using the Services.
Your Account
Members are account holders. You agree to: (1) try to choose a strong and secure password; (2) keep your password secure and confidential; (3) not share your account with anyone else and (4) will follow our rules and the law. You are responsible for anything that happens through your account unless you close it or report misuse. If the Services were purchased by others (including your employer), the party paying for such Service has the right to control access to and get reports on your use of such paid Service; however, they do not have rights to your personal account.
Payment
If you buy any of our paid Services, you agree to pay us the applicable fees and taxes. Failure to pay these fees will result in the termination of your paid Services. You can get a copy of your invoice through your Vedrax account settings under "Billing History"
Notices and Service Messages
You agree that we will provide notices to you in the following ways:(1) a notice within the Service, or (2) a message sent to the email you provided us. You agree to keep your contact information up to date.
Sharing
Our Services allow messaging and sharing of information in many ways, such as your profile, link to new articles, posting Demands and Events (Vedrax Marketplace). Information and content that you share or post may be seen by other Members.
Rights and Limits
Your License to Vedrax SAS
As between you and Vedrax SAS, you owe the content and information that you submit or post to the Services and you are only granting Vedrax SAS the following non-exclusive license: right to use, copy, modify, distribute, publish, and process, information and content that you provide through our Services, without any further consent, notice and/or compensation to you or others. The rights are limited in the following ways: (1)You can end this license by closing your account. (2) You agree to only provide content or information that does not violate the law nor anyone's rights (including intellectual property rights). (3) You also agree that your profile information will be truthful. (4) Vedrax SAS may be required by law to remove certain information or content in certain countries.
Service Availability
We may change or discontinue any of our Services. We don't promise to store or keep showing any information and content that you've posted.
Other Content
By using the Services, you may encounter content or information that might be inaccurate, incomplete, delayed, misleading, illegal, offensive or harmful. Vedrax SAS generally does not review content provided by our Members or others. You agree that we are not responsible for others' content or information.
Limits
Vedrax SAS reserves the right to limit your use of the Services. Vedrax SAS reserves the right to restrict, suspend, or terminate your account if we believe that you may be in breach of the Contract or law or are misusing the Services.
Intellectual Property Rights
Vedrax SAS reserves all of its intellectual property rights in the Services. Using the Services does not give you any ownership in our Services or the content or information made available through our Services. Trademarks and logos used in connection with the Services are trademarks of Vedrax SAS.
Disclaimer and Limit of Liability
No Warranty
To the extent allowed under law, Vedrax SAS (A) disclaim all implied warranties and representations; (B) Do not guarantee that the services will function without interruption or errors, and (C) provide the service on "as is" and "as available" basis.
Exclusion of Liability
To the extent permitted under law, Vedrax SAS shall not be liable to you or others for any indirect, incidental, special, consequential or punitive damages, or any loss of data, opportunities, reputation, profits or revenues, related to the Services.
Termination
Termination
Both you and Vedrax SAS may terminate this contract at any time with notice to the other. On termination, you lose the right to access or use the Services. Any amounts owed by either party prior to termination remain owed after termination.
Dispute and Resolution

You agree that the laws of France shall exclusively govern any dispute relating to this Contract.
General Terms
General Terms
We reserve the right to change the terms of this Contract and will provide you notice if we do and we agree that changes cannot be retroactive. If you don't agree to these changes, you must stop using the Services.
"Dos" and "Don'ts"
Dos
You agree that you will: (1) Comply with all applicable laws; (2) Provide accurate information to us and keep it updated; (3) Use your real name on your profile; (4) Use the Services in a professional manner.
Don'ts
You agree that you will not: (1) Act in an unlawful or unprofessional manner in connection with our Services; (2) Post inaccurate, obscene, shocking, hateful, threatening or inappropriate content or disputes; (3) Create a false identity on the Services; (4) Misrepresent your identity; (5) Create a Member profile for anyone other than yourself; (6) Use another's account; (7) Abuse another person.
